1. Agreement Acceptance & Scope

By accessing, using, or engaging with 100xSolutions' AI automation and business optimization services, you accept and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you ("Client" or "You") and 100xSolutions ("Company", "We", "Us", or "Our").

These terms apply to all our services including AI agent development, business automation solutions, custom software development, consultation services, public tools, and any related offerings.

2. Service Description & Offerings

100xSolutions provides comprehensive AI automation and business optimization services:

2.1 Core AI & Automation

  • Custom AI Agents: Building intelligent agents for business processes.
  • Business Process Automation: End-to-end task automation.
  • AI Integration: Integrating AI into existing systems.
  • Machine Learning: Custom models for prediction/classification.
  • Workflow Optimization: Redesigning processes for ROI.

2.2 Technology & Dev

  • Custom Software: Tailored applications & platforms.
  • API Integration: Connecting disparate systems.
  • Data & Dashboards: Business intelligence solutions.
  • Cloud Infrastructure: Deployment and management.
  • Mobile & Web Apps: Modern, responsive applications.

2.3 Consulting & Strategic Services

  • AI Strategy Development: Roadmap creation for adoption.
  • Digital Transformation: Comprehensive modernization.
  • Process Optimization: Analysis and improvement.
  • Technology Assessment: Evaluation of current stack.
  • Training & Change Management: Team education and support.

3. Client Responsibilities & Requirements

To ensure successful project delivery and collaboration, clients agree to:

  • Provide accurate, truthful information.
  • Grant access to system documentation.
  • Ensure stakeholder availability.
  • Support organizational change.

3.2 Technical

  • Provide necessary access credentials.
  • Maintain appropriate security.
  • Ensure proper data quality.
  • Maintain backups of systems.

3.3 Compliance

  • Use services for lawful purposes.
  • Ensure IP rights to data provided.
  • Comply with industry regulations.
  • Maintain third-party agreements.

4. Project Delivery & Service Terms

4.1 Initiation & Development

Scope defined in SOW. Changes may affect timelines. Acceptance criteria established. Agile iterative development with comprehensive QA and documentation.

4.2 Payment Terms

Milestone schedule based. Late payments may result in suspension after 15 days. Third-party services billed separately. USD currency.

4.3 Support & Maintenance

30-day warranty on dev work. Separate post-deployment agreements available. 4-hour critical response during business hours. Updates provided.

5. Intellectual Property & Data Rights

5.1 Our IP

Pre-existing algorithms, tools, frameworks, ML models, and trade secrets remain our property.

5.2 Client IP

Your business data, brand assets, custom solutions (upon payment), and workflows remain yours.

5.3 Joint IP & Licensing

Custom models trained on your data are yours, but our methodology remains ours. Non-exclusive license granted for pre-existing IP in your solutions.

5.4 Confidentiality

Mutual NDAs enforced. All client data is treated as confidential business information, surviving termination.

6. AI Ethics & Responsible AI

  • Principles: Emphasizing transparency, fairness, accountability, and privacy.
  • Governance: Comprehensive model documentation, bias testing, and drift monitoring.
  • Human-in-the-loop: Human oversight required for high-stakes business choices with override capability.

7. Data Privacy & Security Obligations

  • Protection Commitments: Privacy by design, data minimization, and purpose limitation.
  • Security Measures: AES-256 and TLS encryption, strict access controls, regular audits.
  • AI-Specific Privacy: Models protected against reverse engineering, using differential privacy when applicable.

9. Warranties & Disclaimers

Warranties: Services meet industry standards with proper documentation and compliance design.

Disclaimers: No guarantee of specific business ROI. Not liable for force majeure or third-party outages.

Limitations: Liability limited to direct damages not exceeding the specific project value. No indirect/lost profits tracking.

10. Indemnification

Client: Indemnifies against claims from client data, IP infringement of client materials, or unlawful use.

Us: We indemnify against third-party IP claims on our tools, damages from gross negligence, or data breaches due to our failure.

Additional Legal Provisions

11. Termination & Exit

30 days written notice for convenience or immediate termination for material breach. Payment required for services rendered. IP transfers upon final payment. Confidentiality and IP rights survive termination.

12. Dispute Resolution

Good faith 30-day negotiation period. If unresolved, entering binding mediation, then arbitration.

13. Insurance

We maintain professional and cyber liability coverage alongside redundant disaster recovery procedures.

14. Updates & Changes

30 days advance notice for material changes via email and website. Continued use constitutes acceptance.

15. General Provisions

Entire agreement supersedes prior discussions. Force majeure excused. Assignment allowed upon business transfer consent.
